Terms & Conditions

1. Definitions

In this document the following words shall have the following meanings:

“Customer”, “Your”, “His/Her” refers to any individual, partnership, limited company, charity or organisation, agent and principal thereof that engages Joseph Tan or Joseph Print Lab to carry out work.

“The Company”, “Our” refers to Joseph Tan or Joseph Print Lab.

“Proposal” means a statement of work, quotation, estimate, price list for work, or other similar document describing the work to be provided by Joseph Tan or Joseph Print Lab.

“Work” means any consultation, print work, or any variation of the proposal as agreed between Joseph Tan or Joseph Print Lab and the customer and any other duties carried out by Joseph Tan or Joseph Print Lab on behalf of the customer.

“Artwork” or “Print” refers to the print that has been created by Joseph Tan or Joseph Print Lab for the customer.

“The Contract” shall mean instructions, confirmed in writing, electronic format, or verbally issued by the customer or an authorised person on behalf of the customer.

“Fees” shall mean all charges and expenses that will be invoiced by Joseph Tan or Joseph Print Lab to the customer for the work provided.

“Terms and Conditions” means the terms and conditions of business set out in this document and any special terms and conditions agreed in writing by the company.

2. General

These Terms and Conditions apply to all contracts for the supply of work by the company to the customer and shall prevail over any other documentation or communication by the customer.

Any variation to these Terms and conditions shall be inapplicable unless agreed in writing by Joseph Tan or Joseph Print Lab.

Nothing in these Terms and Conditions shall prejudice any condition or warranty, express or implied, or any legal remedy to which Joseph Tan or Joseph Print Lab may be entitled in relation to the work, by virtue of any statute law or regulation.

Nothing in these Terms and conditions shall affect the customer’s statutory rights as a consumer.

3. The Work

The customer shall be deemed to have accepted the work proposal by placing an order and/or sending their film negative to Joseph Tan or Joseph Print Lab for work to be carried out.

The estimated timeline of the work will only begin from the time the film negative has been received by the company.

Joseph Tan or Joseph Print Lab shall not be liable for failure to complete the work within the proposed or estimated timeline.

4. Completion of Work And Payment of Fees

Completion of the work shall be deemed to have taken place when the work described in the contract has been carried out.

Payment for the work has to be made by the customer at the time of order.

 

5. The Company’s Obligations

Joseph Tan or Joseph Print Lab shall perform the work with reasonable skill to a reasonable standard although this is subjected to the quality of the film negative that is being sent by the customer.

6. Returns & Disputes

The company is under no obligation to accept a return for the commissioned work, except if the print reaches the customer damaged.

As the final product is an artwork, it is subjective and there may be times when the customer is not satisfied with the work provided. In the event of a dispute between the company and the customer regarding the final product, we will offer assistance to the best of our ability. However, the company is under no obligation to create another print if the customer is dissatisfied with the first.

Joseph Tan or Joseph Print Lab reserves the right to the final resolution for any disputes and the result must be accepted by both parties.

Should there be a dispute, we each agree that any dispute resolution proceedings will be conducted only on an individual basis. If there is a dispute about the interpretation of the contract, the company will make every effort to resolve the dispute, negotiating based on good faith.

Joseph Tan or Joseph Print Lab will not indemnify the customer against any claims, demands, or losses however they may occur, whether or not involving a third party claim, which arises out of or relates to any act of Joseph Tan or Joseph Print Lab.

The customer agrees to indemnify, defend and hold us harmless for any loss, damage, or cost including attorneys' fees resulting from any third-party claims, demands, or action from the use of our service or website.

7. Cancellations

The customer may cancel the work by notifying Joseph Tan or Joseph Print Lab by email. In such an event, any work that has been done up to the point of cancellation must be paid. Should the customer want his film negative back, he/she would have to pay for the return shipping.

Joseph Tan or Joseph Print Lab reserves the right to cancel or terminate the work at its discretion.


8. Force Majeure

Neither party shall be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lockouts, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and the party shall be entitled to a reasonable extension of its obligations.

9. Severance
If any term or provision of these Terms and Conditions is held invalid, illegal, or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.

10. Governing Law
Our Terms and Conditions are governed by and interpreted in accordance with the laws of the Republic of Singapore. You hereby agree to submit to the exclusive jurisdiction of the courts of Singapore pertaining to any dispute arising from the use of our service.


11. Acceptance Of Terms
By agreeing to the work proposal, either by placing an order and/or sending their film negative to Joseph Tan or Joseph Print Lab for work to be carried out, you agree to accept these Terms and Conditions.

 

12. Disclaimer

The company will not be liable for the contents of the print or any harm or losses that could incur as a result of the work done by Joseph Tan or Joseph Print Lab.

The company holds the right to refuse work that is in any way (or in connection with any) unlawful, illegal, fraudulent, or harmful activity.

 

13. Risk of Loss

All film negatives and prints sent and received by the company are made pursuant to a shipment contract. The risk of loss and for the prints pass to you upon our delivery to the shipment contact in Singapore.
